1. Acceptance of Terms

By accessing, browsing, or using any services provided by Elysium Media FZCO ("Company," "we," "us," or "our"), including but not limited to our websites, applications, software, APIs, blockchain solutions, artificial intelligence systems, trading algorithms, and related services (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

Important Notice: If you do not agree to these Terms in their entirety, you must immediately cease all use of our Services. Your continued use constitutes acceptance of any modifications to these Terms.

These Terms constitute a legally binding agreement between you and Elysium Media FZCO, a company incorporated under the laws of the United Arab Emirates, with its registered office in Dubai.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

"Algorithmic Trading Systems"
Automated software solutions utilizing artificial intelligence and machine learning to execute trading strategies across various financial markets and digital asset exchanges.
"Blockchain Infrastructure"
Distributed ledger technology solutions, smart contracts, decentralized applications (dApps), and related cryptographic systems developed or operated by the Company.
"Digital Assets"
Cryptocurrencies, tokens, non-fungible tokens (NFTs), stablecoins, security tokens, and any other blockchain-based assets or representations of value.
"Smart Contracts"
Self-executing contracts with terms directly written into code, deployed on blockchain networks.
"Tokenization Services"
The process of converting rights to an asset into a digital token on a blockchain.
"API"
Application Programming Interface, allowing third-party applications to interact with our Services.
"KYC/AML"
Know Your Customer and Anti-Money Laundering procedures required for regulatory compliance.

3. Eligibility Requirements

To use our Services, you must meet all of the following eligibility requirements:

Age and Capacity

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be barred from using the Services under applicable law

Geographic Restrictions

  • Not be a resident of, or located in, any jurisdiction where our Services are prohibited
  • Not be subject to economic sanctions or trade restrictions imposed by the UAE, EU, US, UK, or UN
  • Comply with all local laws regarding online conduct and acceptable content
Restricted Jurisdictions: Our Services are not available to residents of: North Korea, Iran, Syria, Cuba, Crimea region, and other jurisdictions subject to comprehensive sanctions. Additional restrictions may apply to specific services.

Professional Requirements (where applicable)

  • For institutional services: proof of corporate registration and authorization
  • For trading services: acknowledgment of risk understanding and financial capability
  • For API access: technical competency and compliance with rate limits

The availability of specific services may vary by jurisdiction and is subject to regulatory requirements and Company discretion.

5. Account Registration

Certain Services require account registration. By creating an account, you agree to:

  • Accurate Information: Provide true, accurate, current, and complete information during registration
  • Maintenance: Maintain and promptly update your account information
  • Security: Maintain the confidentiality of your account credentials and accept responsibility for all activities under your account
  • Notification: Immediately notify us of any unauthorized use or security breach
  • Single Account: Maintain only one account per individual or entity unless expressly authorized
Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, engage in fraudulent activity, or pose security risks.

8. Payment Terms

For paid Services, the following terms apply:

  • All fees are quoted in USD unless otherwise specified
  • Payments are due as specified in your service agreement
  • We accept payment via bank transfer, credit card, and select cryptocurrencies
  • Cryptocurrency payments are valued at time of transaction confirmation

Taxes

  • Prices exclude applicable taxes unless stated otherwise
  • You are responsible for all applicable taxes in your jurisdiction
  • VAT applies to EU customers where applicable
  • We will provide necessary documentation for tax purposes

Refunds

  • Refund policies vary by service type and are specified in service agreements
  • Digital services may have limited or no refund options after delivery
  • Subscription refunds are prorated from cancellation date
  • Cryptocurrency refunds are subject to exchange rate fluctuations

9. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Exclusion of Damages

IN NO EVENT SHALL ELYSIUM MEDIA FZCO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Cap on Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $1,000 USD.

Specific Exclusions

We are not liable for: trading losses, market volatility, smart contract failures, blockchain network issues, third-party service failures, regulatory changes, or force majeure events.

10. Indemnification

You agree to indemnify, defend, and hold harmless Elysium Media FZCO, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of and access to the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any content you submit, post, or transmit through the Services
  • Any misrepresentation made by you

11. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

Mediation

If informal resolution fails, parties agree to submit to non-binding mediation administered by the Dubai International Arbitration Centre (DIAC).

Arbitration

Any unresolved disputes shall be finally settled by binding arbitration under DIAC Rules, with the seat of arbitration in Dubai, UAE. The language of arbitration shall be English.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

These Terms shall be governed by and construed in accordance with:

  • Effective Date: Changes become effective on the date specified in the notice
  • Continued Use: Your continued use after the effective date constitutes acceptance

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • The remaining provisions shall continue in full force and effect

Transactions on public blockchains (Bitcoin, Ethereum, etc.) are permanently recorded and publicly visible. While we do not control this data, wallet addresses you provide may be linked to your identity in our systems.

Smart Contract Interactions

Interactions with smart contracts we deploy may create immutable records on the blockchain. These cannot be modified or deleted due to the fundamental nature of blockchain technology.

On-Chain vs. Off-Chain Data

We store personal data off-chain where possible. Only transaction hashes and wallet addresses appear on-chain. Your identity information remains in our secured off-chain databases.

Erasure Limitations: The right to erasure under GDPR/CCPA cannot be fully exercised for data recorded on public blockchains due to their immutable nature. We will delete all off-chain data upon valid request.

7. Suspicious Activity Reporting

Suspicious Transaction Reports (STRs) are filed with the UAE FIU through the goAML platform as required by UAE law.

Tipping-Off Prohibition

It is a criminal offense to inform any person that a STR has been or will be filed. We cannot disclose this information to affected customers.
